End-User License Agreement
A through L Updated March 11, 2019
IMPORTANT-READ CAREFULLY: This End-User License Agreement (or “EULA”) is a legal agreement between you (either an individual or a single entity) (“LICENSEE “) and TENZERO (“LICENSOR “) for the asset you have licensed which includes the following: (i) designed models, (ii) source files and (iii) any printed, “online” or electronic documentation (altogether: “ASSETS”). By licensing, copying or otherwise using the ASSETS, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not use the ASSETS. Copyright laws and international copyright treaties, as well as other intellectual property laws and treaties protect the ASSETS. The rights granted herein are non-transferable and have to be validated by proof of purchase. All rights not expressly granted to you hereunder are reserved by the LICENSOR.
An individual purchase of one product will grant you the personal license to use one or more versions of this product to its full extent, including the royalty-free use of all assets in your visual images, games or theatrical works.
A. This agreement supersedes any other agreement that may have been entered into with regards to the ASSETS by the LICENSEE.
B. The LICENSOR shall retain all ownership, title, right, and interest in the ASSETS and does not grant the LICENSEE any intellectual property or other rights of any kind beyond what is stipulated in this EULA.
C. The LICENSEE undertakes to pay remuneration for obtaining the License for given ASSETS in accordance with the price dictated by The LICENSOR at the time of the sale.
D. The LICENSEE acquires the right to use the ASSETS for commercial and private purposes within the scope of this agreement. There shall be no royalties paid to the LICENSOR as long as the terms of this agreement have been adhered to in their fullest and to the satisfaction of the LICENSOR.
E. The LICENSEE does not have the right to resell, give, share, whether for remuneration or not, sublicense, distribute or multiply the ASSETS.
F. The LICENSEE shall indemnify LICENSOR from, and against any and all claims, demands, suits, awards, damages, suits, injuries, liabilities and all reasonable expenses, including attorney’s fees incurred by the LICENSOR with respect to any matter that arises as a result of this Agreement or with regards to the use of the ASSETS in any way what so ever.
G. The LICENSEE may edit the ASSETS for its own needs if it is necessary to use the ASSETS according to its intended purpose. However, The LICENSEE may not, whether for remuneration or not, share, distribution, sublicense or multiply the ASSETS in any form whatsoever from their original state.
H. The LICENSEE shall not place the ASSETS, nor the data files that comprise the ASSETS, which can be separated on websites, servers, or other digital data carriers, from which other entities can distribute, or in any other way make available whether for remuneration or not. The LICENSEE shall by responsible for lost revenue at the prevailing copyright infringement statues at the place where this document has been executed by the LICENSOR.
I. The LICENSEE is responsible for the usage of the ASSET and the legality associated with its usage. Should intellectual property be depicted in this ASSET, it is not affiliated with or endorsed by the original rights holders and rights clearance may be required depending on its usage. This must be established and managed by the LICENSEE should it be required. See F.
J. There can be no modifications and/or additions to this Agreement by the LICENSEE. The LICENSEE may seek to establish a different/new agreement at any time at the will and written agreement of The LICENSOR.
K. The LICENSOR reserves the right to request proof of ownership of the ASSETS by the LICENSEE.
L. This document shall be executed in the territory best suited to litigation as determined by the LICENSOR.
